SECTION 1 – AGREEMENT TO TERMS, BUSINESS INFORMATION, SERVICES, CLIENT ELIGIBILITY, USER REPRESENTATIONS, AND ACCOUNT REGISTRATION

You acknowledge that by accessing our Website, requesting information, submitting forms, engaging our Services, signing an engagement letter, purchasing a service plan, making payment, or otherwise interacting with our Company, you have read, understood, and agree to be bound by all of these Terms and Conditions.

If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using our Website and Services and must discontinue use immediately.

CLIENT ELIGIBILITY

To access our Services, you represent and warrant that:

You are at least eighteen (18) years old.

Authority Requirement

You possess the legal authority necessary to enter into binding agreements.

Business Authority

If acting on behalf of a business entity, you possess the authority to bind that entity to these Terms.

Compliance Requirement

You agree to comply with all applicable laws, regulations, ordinances, and governmental requirements.

Accurate Information

All information submitted to Sadika Accounting, LLC shall be accurate, complete, current, and truthful.

USER REPRESENTATIONS

By using our Services, you represent and warrant that:

2. Ownership of Records

You own or have legal authority to provide all records, documents, files, statements, reports, and financial information submitted to us.

3. Lawful Business Activity

5. Cooperation

You remain solely responsible for:

9. Fraud Prevention

You understand that Sadika Accounting, LLC does not audit your records and is not responsible for detecting fraud, theft, embezzlement, money laundering, or other illegal conduct.

10. Government Compliance

You remain responsible for compliance with all federal, state, local, and international laws applicable to your business.

CLIENT ACCOUNT REGISTRATION

Certain Services may require account registration.

When registering for an account, you agree to:

  • Provide accurate information

  • Maintain updated information

  • Protect your login credentials

  • Restrict unauthorized access

  • Notify us immediately of security breaches

You are solely responsible for all activity occurring under your account.

We reserve the right to:

CLIENT PORTAL ACCESS

Where applicable, Sadika Accounting, LLC may provide access to:

You agree to use such systems responsibly and solely for legitimate business purposes.

SERVICE AVAILABILITY

We strive to provide uninterrupted Services.

However, we do not guarantee that:

  • Client portals will remain uninterrupted.

  • Services will be free from delays.

Maintenance, software updates, internet disruptions, security incidents, or circumstances beyond our control may affect service availability.

We shall not be liable for temporary interruptions or downtime.

RESERVATION OF RIGHTS

Sadika Accounting, LLC reserves all rights not expressly granted under these Terms.

Nothing in these Terms shall be interpreted as creating:

between the Client and Sadika Accounting, LLC.

SECTION 2 – ONBOARDING FEES, SERVICE PLANS, PAYMENT TERMS, CLIENT RESPONSIBILITIES, CONFIDENTIALITY, SOFTWARE ACCESS, AND SERVICE LIMITATIONS

ONBOARDING FEE

Before any Services begin, the Client shall pay a one-time, non-refundable onboarding fee of Six Hundred Fifty Dollars ($650 USD).

The onboarding fee covers administrative and operational activities including, but not limited to:

  • New client setup

  • Client account creation

  • Internal workflow development

  • Document collection and organization

  • Software integration setup

  • Financial records review

  • Client portal setup

  • Team assignment

  • Security configuration

  • Project planning

  • Communication setup

  • Initial bookkeeping assessment

The onboarding process begins immediately after payment is received.

Because onboarding work starts immediately and involves labor, system configuration, and resource allocation, the onboarding fee is fully earned upon commencement of onboarding activities and shall not be refunded under any circumstances.

The Client expressly acknowledges and agrees that the onboarding fee is separate from all recurring service fees and project fees.

SERVICE PLANS

Sadika Accounting, LLC may offer various service plans from time to time.

Current plans may include:

Weekly Bookkeeping Plan

This service is intended for businesses requiring frequent bookkeeping support.

Services may include:

  • Weekly transaction categorization

  • Weekly reconciliations

  • Weekly bookkeeping maintenance

  • Financial reporting support

  • Ongoing bookkeeping assistance

The scope of services shall be defined in the Client's proposal or service agreement.

Monthly Bookkeeping Plan

This service is intended for businesses requiring recurring monthly bookkeeping support.

Services may include:

  • Monthly bookkeeping

  • Bank reconciliations

  • Credit card reconciliations

  • Financial statement preparation

  • Monthly reporting

  • Account review

The scope of services shall be defined in the Client's proposal or service agreement.

One-Time Project Plan

This service is intended for special bookkeeping projects.

Projects may include:

  • Cleanup bookkeeping

  • Catch-up bookkeeping

  • Historical reconciliation

  • QuickBooks cleanup

  • Data migration

  • Custom bookkeeping projects

Each project shall be governed by a separate proposal or statement of work.

Full-Time Certified QuickBooks Bookkeeper Plan

This service provides dedicated bookkeeping support based upon the agreed scope.

Services may include:

  • Daily bookkeeping support

  • Ongoing account maintenance

  • Dedicated bookkeeping assistance

  • Workflow management

  • Reporting support

  • QuickBooks administration

The specific duties and deliverables shall be defined in the applicable service agreement.

PRICING

Pricing may be published on our Website, provided in a proposal, engagement letter, invoice, quote, estimate, or other written communication.

Sadika Accounting, LLC reserves the right to:

  • Modify pricing

  • Introduce new service plans

  • Discontinue service plans

  • Adjust fees

  • Introduce additional service offerings

at any time.

Pricing changes shall not affect signed agreements currently in force unless otherwise agreed in writing.

PAYMENT TERMS

The Client agrees to pay all fees, charges, expenses, and invoices in accordance with the applicable service agreement.

Payments shall be made in United States Dollars (USD).

Accepted payment methods may include:

  • Credit Card

  • Debit Card

  • ACH Transfer

  • Bank Transfer

  • Electronic Payment Platforms

  • Other approved payment methods

The Client authorizes Sadika Accounting, LLC to process payments using approved payment methods where authorized.

RECURRING BILLING

For recurring service plans, invoices may be issued:

  • Weekly

  • Bi-weekly

  • Monthly

  • Quarterly

depending upon the service agreement.

Recurring services automatically renew until terminated in accordance with these Terms or the applicable service agreement.

The Client remains responsible for all fees incurred prior to cancellation.

FAILED PAYMENTS

If a payment fails for any reason, including but not limited to:

  • Insufficient funds

  • Expired payment method

  • Declined transaction

  • Processing errors

the Client shall remain responsible for the unpaid balance.

Sadika Accounting, LLC reserves the right to:

  • Reattempt payment processing

  • Suspend Services

  • Restrict account access

  • Delay deliverables

  • Terminate Services

until payment is received.

LATE PAYMENTS

Invoices not paid by the due date shall be considered delinquent.

Sadika Accounting, LLC reserves the right to assess:

  • Late fees

  • Administrative fees

  • Collection costs

  • Legal expenses

where permitted by law.

The Client agrees to reimburse all reasonable costs associated with collection efforts.

Repeated late payments may result in immediate termination of Services.

NO GUARANTEE OF RESULTS

While Sadika Accounting, LLC strives to provide high-quality bookkeeping services, we do not guarantee:

  • Increased revenue

  • Increased profits

  • Business growth

  • Tax savings

  • Financial performance improvements

  • Government approvals

  • Loan approvals

  • Financing approvals

Results depend upon numerous factors outside our control.

CLIENT RESPONSIBILITIES

The Client agrees to:

Provide Accurate Information

All information supplied to Sadika Accounting, LLC must be accurate and complete.

Provide Documents Promptly

The Client shall provide requested documents within a reasonable time.

Such documents may include:

  • Bank statements

  • Credit card statements

  • Receipts

  • Payroll reports

  • Tax documents

  • Vendor invoices

  • Customer invoices

  • Contracts

  • Financial reports

Maintain Software Access

The Client shall maintain active access to required software platforms.

Failure to provide access may delay Services.

Review Reports

The Client agrees to review reports and financial statements provided by Sadika Accounting, LLC.

Any concerns must be reported promptly.

Approve Transactions

The Client remains solely responsible for approving financial decisions and transactions.

Sadika Accounting, LLC does not have authority to make financial decisions on behalf of the Client unless expressly agreed in writing.

DOCUMENT RETENTION

Sadika Accounting, LLC may retain client documents and records for a reasonable period following completion of Services.

We reserve the right to delete, archive, or destroy records in accordance with our document retention policies.

Clients are encouraged to maintain their own copies of all documents.

CONFIDENTIALITY

Sadika Accounting, LLC recognizes the importance of protecting confidential business information.

Subject to applicable law, we agree to maintain confidentiality regarding information received from Clients.

Confidential information may include:

EXCEPTIONS TO CONFIDENTIALITY

THIRD-PARTY SOFTWARE

Clients may authorize Sadika Accounting, LLC to access third-party software systems including but not limited to:

  • QuickBooks Desktop

  • Xero

  • Shopify

  • Stripe

  • Square

  • PayPal

  • Amazon Seller Central

  • Gusto

  • ADP

  • Bill.com

  • Hubdoc

  • Dext

  • Other software platforms

Access to these systems is provided solely for purposes of delivering Services.

SOFTWARE SECURITY

The Client is responsible for:

  • Usernames

  • Passwords

  • Authentication devices

  • Security settings

  • Software subscriptions

Sadika Accounting, LLC shall not be liable for security breaches caused by:

  • Weak passwords

  • Unauthorized access

  • Client negligence

  • Third-party platform failures

THIRD-PARTY PROVIDERS

Our Services may rely upon third-party providers.

We do not control such providers and make no guarantees regarding:

  • Availability

  • Reliability

  • Performance

  • Security

  • Data integrity

The Client acknowledges that third-party service interruptions may affect our ability to provide Services.

INDEPENDENT CONTRACTOR RELATIONSHIP

Sadika Accounting, LLC is an independent contractor.

Nothing contained in these Terms shall be interpreted as creating:

  • Employment

  • Partnership

  • Joint venture

  • Agency relationship

  • Fiduciary relationship

between the Client and Sadika Accounting, LLC.

SERVICE LIMITATIONS

Unless specifically agreed in writing, Sadika Accounting, LLC shall not:

  • Sign checks

  • Authorize payments

  • Execute contracts

  • Approve transactions

  • Act as legal counsel

  • Act as tax counsel

  • Provide investment advice

  • Serve as company officer

  • Serve as company director

The Client retains ultimate responsibility for all business decisions.

RESERVATION OF SERVICE RIGHTS

Sadika Accounting, LLC reserves the right to:

  • Decline prospective clients

  • Refuse engagements

  • Suspend Services

  • Limit Services

  • Modify service offerings

at our sole discretion.

We may refuse service where we determine that:

  • The engagement presents excessive risk;

  • The Client fails to cooperate;

  • Fraud is suspected;

  • Required information is withheld; or

  • The engagement conflicts with applicable laws or professional standards.

SECTION 3 – INTELLECTUAL PROPERTY RIGHTS, WEBSITE USE, PROHIBITED ACTIVITIES, CLIENT CONTENT, TESTIMONIALS, SOCIAL MEDIA, SUBMISSIONS, THIRD-PARTY WEBSITES, ADVERTISING, AND SITE MANAGEMENT

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, all content, materials, systems, processes, software, documents, graphics, logos, trademarks, service marks, business methods, templates, forms, procedures, workflows, website designs, written materials, reports, educational content, training materials, and other proprietary information available through Sadika Accounting, LLC (collectively, the "Company Content") are owned by or licensed to Sadika Accounting, LLC.

Such materials are protected by:

  • United States copyright laws

  • Trademark laws

  • Trade secret laws

  • Intellectual property laws

  • International intellectual property treaties

CLIENT CONTENT

The Client retains ownership of Client Content.

However, the Client grants Sadika Accounting, LLC a limited license to:

  • Store

  • Process

  • Analyze

Client Content as reasonably necessary to provide Services.

CLIENT WARRANTIES REGARDING CONTENT

The Client represents and warrants that:

  • Client Content is accurate.

  • Client Content is lawful.

  • Client Content does not infringe third-party rights.

  • Client Content was obtained legally.

  • The Client has authority to provide such content.

The Client assumes sole responsibility for Client Content.

TESTIMONIALS AND REVIEWS

Clients may voluntarily submit:

By submitting such content, you grant Sadika Accounting, LLC permission to:

No refunds shall be provided for Services already performed.

EFFECT OF TERMINATION

IF NO FEES WERE PAID, LIABILITY SHALL NOT EXCEED FIVE HUNDRED DOLLARS ($500 USD).

INDEMNIFICATION

The Client agrees to defend, indemnify, and hold harmless Sadika Accounting, LLC and its:

  • Owners

  • Officers

  • Employees

  • Contractors

  • Affiliates

  • Agents

  • Representatives

from and against any claims, liabilities, damages, losses, expenses, costs, penalties, fines, or attorney's fees arising from:

  1. Client Content;

  2. Client misconduct;

  3. Breach of these Terms;

  4. Violations of law;

  5. Inaccurate information provided by Client;

  6. Actions taken based upon Client instructions;

  7. Third-party claims relating to Client activities.

FORCE MAJEURE

Sadika Accounting, LLC shall not be liable for delays or failures resulting from causes beyond its reasonable control, including but not limited to:

  • Natural disasters

  • Floods

  • Hurricanes

  • Fires

  • Pandemics

  • Epidemics

  • War

  • Terrorism

  • Government actions

  • Labor disputes

  • Power outages

  • Internet failures

  • Cyberattacks

  • Supply chain disruptions

Performance shall be suspended for the duration of such events.

WAIVER

ENTIRE AGREEMENT

  • Statements of Work

constitute the entire agreement between the parties regarding the Services.

All prior discussions, understandings, negotiations, and agreements are superseded.

OTHER AGREEMENTS

If Sadika Accounting, LLC and the Client enter into a separate signed agreement, that agreement shall control with respect to any conflicting provisions.

Any non-conflicting provisions of these Terms shall remain enforceable.

ELECTRONIC EXECUTION

Electronic signatures, approvals, authorizations, and agreements shall have the same legal effect as original handwritten signatures.

The parties agree to conduct business electronically where permitted by law.

SURVIVAL

The following provisions shall survive termination:
